RULES AND CONDITIONS OF USE

MIAMAOO



Elements of the Site, which can include text, images, audio and video extracts, software and other elements (“Content”) are provided by Miamaoo for informational purposes only. Membership to Miamaoo and accessing and using the documents on the Site constitutes an agreement with the following provisions and is conditional that you accept and respect such provisions. Please read this section carefully and, if you do not accept the current conditions, you should neither become a member of Miamaoo nor download any of the Content.

This section and all other elements included on this Site, in particular the rates for monthly and annual membership, are subject to change without notice. It is up to you to take note of possible modifications made to the current terms and conditions.

Under these general conditions of use, “you”, “member”, and “members” refer to the legal owner and/or to the permanent user of the electronic address used for registration to Miamaoo.


1. ACCESS REQUIREMENTS AND PASSWORD


Reserved for Single Professionals


To become a member of Miamaoo and to be registered for the events, all members must be single and at least 18 years of age. At the time of registration, we explicitly ask the member to indicate his date of birth. When becoming a member, the user certifies that they are of the required age. We cannot guarantee that each member is single and 18 years old or more, and cannot be held responsible for any consequences that may arise.


Members Now in a Relationship


Active members who lose their single status during the current valid year of their membership can remain members. However, these members will not be able to attend singles only events.


Electronic Account


A valid email address is necessary to create a profile, to become member, and to register for events. Once registered, a member has automatic access to the services offered to regular or VIP members according to his choice.

A member’s profile belongs only to him and must be used exclusively only for his personal use.

You commit yourselves to preserving the secret and confidential nature of your access code and password. Any use of these identification pieces is solely your responsibility. In the event of a lost or stolen password or access code, or of fraudulent use of one of these elements, you are required to inform Miamaoo as soon as possible. This notification should be confirmed by registered letter.

If a member has reason to believe that the safety of his account has been compromised the member must, as soon as possible, modify his password. The member is solely responsible for his account and all the communications and actions carried out with it.


Accuracy of Information


Upon registering and accessing Miamaoo, it is asked that members supply their personal and professional profile (for VIP members only). All information must be true, accurate, and complete. It is the member’s responsibility to keep this information up to date.


2. MEMBERSHIP


Pictures


The pictures of the members are provided by the members themselves according to specifications required by Miamaoo. They are regularly checked so that they conform to the rules. Once added to the site, all pictures become the property of Miamaoo and may be used on different documents sent by Miamaoo for publicity or other purposes.

Membership Policy, Renewal and Cancellation


The monthly membership fee as a regular member amounts to $30 CAD.
The annual membership fee as a VIP member amounts to $250 CAD.

A few days before the end of the membership period, the members receive an email warning them of the end of their membership period and the terms of renewal. There is no reimbursement for early cancellation of membership.


Registration for Events and Cancellation Policy


All registration for events must be carried out via the Site and be paid electronically. Members can cancel their registration for an event minimum 72 hours before an event. A preferential rate for VIP members is posted as well as a rate for regular members.

Events


Members organize the events themselves inside the seven pre-established categories. Each proposal must be approved by a site’s administrator.


3. ACCESS CONTROLS


Miamaoo reserves the right to cancel your membership, your access to the Site, to refuse any member not complying with the rules of the site and to remove, at any moment, without notice, any information flagged as undesirable by users.


4. ILLICIT OR PROHIBITED USE


You can only use the Site and the services suggested by Miamaoo by guaranteeing to Miamaoo that you will not use them for illicit purposes or for reasons prohibited by law or legal and contractual obligations. We reserve the right to remove any material or profile that does not conform to these rules.

It is forbidden to harass other members. It is forbidden to send any unsolicited mail (chain letters, spam, junk mail) to other members or to our employees.

It is forbidden to try to interfere or disturb our service and/or our servers.

Member must not use our service to send emails or to transmit material containing viruses or any other data-processing code, files or programs whose goal is to stop, destroy or limit the functionalities of software, computers, or telecommunication equipment.


5. PARTICIPATION IN EVENTS


Any harassment or behaviour deemed abusive or violent at the time of social events is grounds for the cancellation of membership. It is each member’s responsibility to have an acceptable social behaviour at the time of the events. Miamaoo cannot be held responsible for any improper use of alcohol served at events, nor for any form of personal consumption of alcohol, which is the personal and individual responsibility of each participant.

It falls to each participant to have the proper passport and other required documents when traveling. Miamaoo cannot be held responsible for members being denied entry to a city, province, or country because the traveller does not comply with local laws. Miamaoo will not refund any traveller who did not inform himself of the details related to travel before reserving (i.e. revoked passport, prohibition to travel to the United States, medical restriction, etc).

Miamaoo asks all its participants to be socially responsible on the road and during the events. However, it is not its role or responsibility to ensure it.


6. CONFIDENTIALITY POLICY


No confidential information possibly collected or preserved will be revealed, except if necessary by law or in the event of improper or unauthorized use of the system. We have the right to disseminate any information with the legal authorities and/or third parties concerning any member, directly or personally implied in violations of the law, to help them in their investigations. In accordance with the law, we will cooperate with the legal authorities and will reveal the identity of any member suspected of violating any clause of our code of conduct.

It is the members’ responsibility to not reveal, in their personal profiles or elsewhere on our service, personal information which they do not wish to reveal. Any attempt to control or destroy the safety and the confidentiality of any member is strictly prohibited.

In all cases, members’ personal real name and email addresses will remain confidential and will never be rented or will be sold to third parties.

We reserve the right to access members’ accounts in the following situations: upon complaint from another member, suspicion of embezzlement, and checking in the event of technical problem. These interventions have the sole goal of ensuring and improving our service and the protection of our members.


7. INTELLECTUAL PROPERTY


You agree that the Content as well as the selection, the provision, architecture and other design features, which may or may not be technical but are an integral part of the Site (design of the Website) are protected by Canadian and international intellectual property rights; including the copyright, trademarks, patents, source codes, software, drawings and models and other exclusive rights. Consequently, the Site does not allow, implicitly or otherwise, the licensing or use of the intellectual property of Miamaoo or that of third parties which can be contained there.

Copyright


All the Content published on the Site is protected by copyright. The Content and the copyright on the Content belong to Miamaoo or its content providers. Without indication to the contrary or specific written authorization of the holder of the copyright, nobody is authorized to copy, publish, diffuse, retransmit or reproduce, in any way, any information appearing on the Site.

Trademarks


No licence relating to a trademark is granted to the Content being reproduced on the Site. The names of other products, services, or companies mentioned on the Site can be trademarks of their respective owner. Without indication to the contrary or specific written authorization from the owner of a trademark, no one is authorized to copy, publish, diffuse, retransmit or reproduce, in any form, any trademarked content appearing on the Site.


Patents - Source codes –Software


Any technical elements of the Site, whether protected or not by patent applications and/or patents belong to Miamaoo or its content providers. Without indication to the contrary or specific written authorization from the owner of the rights relating to the technical elements of the site, patented or not, no one is authorized to copy, publish, diffuse, retransmit or reproduce in any form, any technical elements appearing on the Site.


8. LINKS TO OTHER SITES


This site can contain links to web sites managed by third parties. These links are proposed only for your convenience. We cannot guarantee the reliability, accuracy, or truth of the information contained on these sites or in their operation. The inclusion of links to these web sites does not imply endorsement by Miamaoo and implies no association between Miamaoo and the owners of these sites. The member recognizes and accepts the fact that we would not be held responsible for the legality, accuracy, or nature of the content, advertisements, products, services, or information found on these Internet sites.


9. COMPENSATION


You guarantee to compensate Miamaoo for any and all direct, indirect and/or immaterial complaints or damages to third parties caused by your access and/or use of the Site. This guarantee covers the possible repayment to the complainant as well as legal fees incurred. You are solely responsible and will refund Miamaoo for all material or immaterial, direct or indirect damages and injuries done to Miamaoo due to the illegal use of the Site or its name through violation of these conditions, either by yourself or by other users of your account.


10. LIMITATION OF RESPONSIBILITY


It is possible that certain members publish, send or transmit remarks, or obscene and/or offensive material on our service, and that other members be involuntarily exposed. It is also possible that certain members, due to the use of our service, obtain personal information on other members and that these members use this information to insult them or to harass them. All members must attentively select the type of information which they publish through our service or send to other members. It should be stated that we do not screen our members. Our service is accessible to any single professional person filling our requirement of being 18 years old or more.

IN NO EVENT SHALL MIAMAOO BE LIABLE FOR ANY DAMAGES ARISING OUT OF THE USE OR INABILITY TO USE THE MATERIALS ON MIAMAOO'S INTERNET SITE, INCLUDING BUT NOT LIMITED TO, THE INTERRUPTION OF SERVICES RESULTING FROM NETWORK FAILURE, TELECOMMUNICATIONS SYSTEM FAILURE, OR THE FAILURE OF THE RECIPIENT’S TECHNICAL EQUIPMENT.

MIAMAOO CANNOT BE HELD RESPONSIBLE TO YOU OR A THIRD PARTY FOR ERRORS OR OMISSIONS, OF ANY NATURE, WHICH IMPACT THE CONTENT OR ELEMENTS RELATED TO THE CURRENT SITE. MIAMAOO DOES NOT GRANT, TO YOU OR A THIRD PARTY, ANY GUARANTEE, EXPRESSED OR IMPLIED, ON THE CONTENTS OR THE ELEMENTS RELATED TO THE CURRENT SITE AND, IN PARTICULAR, NO GUARANTEE OF NON-INFRINGEMENT OR MERCHANTABILITY FOR A PARTICULAR PURPOSE.

MIAMAOO CANNOT UNDER ANY CIRCUMSTANCES BE HELD RESPONSIBLE FOR DAMAGE OF ANY NATURE, INCLUDING BUT NOT LIMITED TO INDIRECT, SPECIAL, OR ACCIDENTAL INDIRECT, SPECIAL, OR FORTUITOUS, RESULTING DIRECTLY OR INDIRECTLY FROM THE USE OF THIS SITE OR OF THE CONTENT AVAILABLE ON THE SITE OR ANY OTHER SITE LINKED TO THIS SITE, EVEN IF THEY WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

MIAMAOO DOES NOT ASSUME ANY RESPONSIBILITY WITH REGARD TO THE DAMAGE CAUSED TO YOUR COMPUTER OR TO OTHER GOODS AS A RESULT OF YOUR ACCESS, USE OR NAVIGATION OF CURRENT WEB SITE, OR FROM DOWNLOADING DOCUMENTS, DATA, TEXTS, IMAGES, VIDEO OR AUDIO FILES FROM THIS WEB SITE, NOR DOES IT ASSUME RESPONSIBILITY WITH REGARD TO VIRUSES WHICH COULD INFECT YOUR COMPUTER OR OTHER GOODS IN THE ABOVE MENTIONED CASES.


11. JURISDICTION


The current rules and conditions are regulated by the applicable laws in the province of Quebec. Litigation that may arise will be subject to competence of the courts of the district of Montreal, province of Quebec.
